Acceptance of Terms

By accessing, browsing, or using Arculus Definet (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms"), as well as our Privacy Policy and any other applicable policies referenced herein.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform and any services provided. Your continued use of the Platform constitutes your acceptance of these Terms and any future modifications.

We reserve the right to modify, amend, or update these Terms at any time without prior notice. It is your responsibility to review these Terms periodically. Changes become effective immediately upon posting, and your continued use of the Platform signifies acceptance of such changes.

Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" refers to Arculus Definet, including all websites, applications, software, and services provided.
  • "User," "You," "Your" refers to any individual or entity accessing or using the Platform.
  • "We," "Us," "Our" refers to Arculus Definet and its affiliates, officers, directors, and employees.
  • "Account" refers to your registered user profile on the Platform.
  • "Trading Services" refers to all financial instruments, trading facilities, and related services provided through the Platform.
  • "Digital Assets" refers to cryptocurrencies, tokens, and other blockchain-based assets tradable on the Platform.

Eligibility

To use the Platform and Trading Services, you must meet the following requirements:

  • You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
  • You must have the legal capacity to enter into binding contracts under applicable law.
  • You must not be a resident of, or located in, any jurisdiction where the provision of Trading Services is prohibited by law.
  • You must not be subject to any sanctions administered by governmental authorities.
  • You must provide accurate, current, and complete information during registration and maintain such information.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, particularly if we suspect fraud, violation of these Terms, or any illegal activity.

Account Registration and Security

4.1 Account Creation

To access Trading Services, you must create an Account by providing accurate personal information including your full legal name, email address, date of birth, residential address, and any other information required for identity verification purposes.

4.2 KYC/AML Compliance

We are required by law to implement Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures. You agree to provide all requested documents for identity verification, which may include government-issued identification, proof of address, and source of funds documentation. We reserve the right to suspend or terminate your Account if you fail to complete verification within the specified timeframe.

4.3 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your Account credentials, including passwords and two-factor authentication codes.
  • All activities that occur under your Account, whether authorized or unauthorized.
  • Immediately notifying us of any unauthorized access or security breach.
  • Using strong, unique passwords and enabling all available security features.

4.4 Account Restrictions

You may only maintain one Account per person. Creating multiple accounts, sharing accounts, or allowing third parties to access your Account is strictly prohibited and may result in immediate termination of all associated accounts without refund.

Trading Services

5.1 Service Description

Arculus Definet provides a trading platform that enables users to execute trades in various financial instruments including, but not limited to, cryptocurrencies, forex pairs, stocks, commodities, and derivatives. The Platform acts as an intermediary between you and liquidity providers.

5.2 Order Execution

All orders are executed on a best-effort basis. We do not guarantee execution at your requested price or within a specific timeframe. Market conditions, including volatility and liquidity, may affect order execution. You acknowledge and accept the possibility of slippage, partial fills, and order rejection.

5.3 Market Data

We provide market data, charts, and analysis tools for informational purposes only. While we strive for accuracy, we do not guarantee that market data is real-time, complete, or error-free. You should not rely solely on our data for trading decisions.

5.4 Service Availability

We aim to provide uninterrupted service 24/7, but we do not guarantee continuous availability. The Platform may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

5.5 Leverage and Margin Trading

If you use leverage or margin trading features, you acknowledge that these products carry additional risks, including the possibility of losing more than your initial investment. We may adjust leverage limits, margin requirements, and close positions at our discretion to manage risk.

Fees and Charges

6.1 Trading Fees

You agree to pay all applicable trading fees, which may include but are not limited to: trading commissions, spread costs, swap/rollover fees, and overnight financing charges. Fee structures are available on our website and may vary based on your account type, trading volume, and asset class.

6.2 Deposit and Withdrawal Fees

Deposits are generally free, but third-party payment processors may charge their own fees. Withdrawal fees vary depending on the payment method and may be subject to minimum withdrawal amounts. Network fees for cryptocurrency withdrawals are passed through to users at cost.

6.3 Inactivity Fees

Accounts that remain inactive (no trades or logins) for more than 90 consecutive days may be subject to monthly inactivity fees. We will provide advance notice before applying such fees.

6.4 Fee Changes

We reserve the right to modify our fee structure at any time. Material changes will be communicated via email or platform notification at least 14 days before taking effect. Continued use of the Platform after fee changes constitutes acceptance of the new fee structure.

6.5 Tax Obligations

You are solely responsible for determining, reporting, and paying all applicable taxes arising from your use of the Platform and trading activities. We do not provide tax advice and recommend consulting with a qualified tax professional.

Deposits and Withdrawals

7.1 Deposit Requirements

All deposits must originate from an account or wallet in your own name. We do not accept third-party deposits. Minimum deposit amounts may apply depending on the payment method. Deposits are subject to our AML policies and may require additional verification.

7.2 Deposit Processing

Deposit processing times vary by payment method. Bank transfers may take 1-5 business days, while cryptocurrency deposits typically require network confirmations ranging from a few minutes to several hours. We are not responsible for delays caused by third-party payment providers or blockchain networks.

7.3 Withdrawal Policy

Withdrawals are processed to the same payment method used for deposits, unless otherwise approved. You may be required to verify your identity before processing withdrawals. We process withdrawal requests within < 2 hours on average, subject to security checks and compliance requirements.

7.4 Withdrawal Restrictions

We reserve the right to delay or reject withdrawal requests if:

  • We suspect fraudulent or suspicious activity.
  • Additional verification is required.
  • There are outstanding obligations or negative balances.
  • The withdrawal violates these Terms or applicable law.
  • We are subject to a court order or regulatory requirement.

7.5 Failed Transactions

If a deposit or withdrawal fails due to incorrect information provided by you, we are not responsible for any losses. Cryptocurrency transactions are irreversible, and we cannot recover funds sent to incorrect addresses.

Risk Disclosure

WARNING: Trading involves substantial risk of loss

You should carefully consider whether trading is appropriate for you in light of your experience, objectives, financial resources, and other relevant circumstances.

8.1 General Trading Risks

Trading in financial instruments carries inherent risks. You may lose some or all of your invested capital. Past performance is not indicative of future results. Market conditions can change rapidly, and prices can be volatile.

8.2 Cryptocurrency Risks

Cryptocurrencies and digital assets are highly speculative and volatile. Risks include but are not limited to: extreme price volatility, regulatory uncertainty, security vulnerabilities, lack of liquidity, technological risks, and the potential for total loss of value.

8.3 Leverage Risks

Leveraged trading amplifies both gains and losses. You can lose more than your initial deposit. Margin calls may require additional funds or result in forced liquidation of positions. Leverage should only be used by experienced traders who fully understand the risks.

8.4 Technology Risks

Technology failures, including internet outages, system errors, security breaches, or cyberattacks, may prevent you from accessing the Platform or executing trades. We are not liable for losses resulting from technology failures beyond our reasonable control.

8.5 No Investment Advice

Arculus Definet does not provide investment, financial, legal, or tax advice. Any information provided on the Platform is for informational purposes only and should not be construed as advice. You should conduct your own research and consult with qualified professionals before making trading decisions.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Money Laundering: Using the Platform to launder money or finance illegal activities.
  • Market Manipulation: Engaging in wash trading, spoofing, layering, or any form of market manipulation.
  • Fraudulent Activity: Providing false information, using stolen credentials, or engaging in fraudulent transactions.
  • Unauthorized Access: Attempting to gain unauthorized access to the Platform, other accounts, or computer systems.
  • Automated Trading Abuse: Using bots, scripts, or automated systems to exploit system vulnerabilities or gain unfair advantages.
  • Intellectual Property Violation: Copying, modifying, or distributing Platform content without authorization.
  • Reverse Engineering: Attempting to decompile, reverse engineer, or extract source code from the Platform.
  • Regulatory Violations: Using the Platform in violation of any applicable laws, regulations, or sanctions.

Violation of these prohibitions may result in immediate account termination, forfeiture of funds, and legal action. We cooperate fully with law enforcement agencies investigating illegal activities.

Account Termination

10.1 Termination by You

You may close your Account at any time by contacting customer support. Upon closure, you must withdraw all remaining funds. We may retain certain information as required by law or for legitimate business purposes.

10.2 Termination by Us

We reserve the right to suspend or terminate your Account immediately, without prior notice, if:

  • You violate these Terms or any applicable policies.
  • We suspect fraud, money laundering, or illegal activity.
  • You fail to complete required verification procedures.
  • We are required to do so by law or court order.
  • We determine, in our sole discretion, that continuing your Account poses a risk.

10.3 Effect of Termination

Upon termination, all open positions may be closed, pending orders canceled, and access to the Platform revoked. You remain liable for any outstanding obligations. We may retain funds pending resolution of disputes or as required by law.

Additional Terms

11. Limitation of Liability

To the maximum extent permitted by law, Arculus Definet shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Platform.

12. Indemnification

You agree to indemnify and hold harmless Arculus Definet from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Arculus Definet is registered, without regard to conflict of law provisions.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arculus Definet regarding use of the Platform.
